Corporate Entity Management For In-House Counsel: Navigating US And International Entity Management
Entity management is one of the most important tasks in-house counsel are called upon to manage. In a recent survey, a staggering 68% of organizations reported not having access to up-to-date information in legal entities and local compliance. This, whilst the global entity compliance landscape is becoming increasingly more complex. Solid legal entity management and 24/7 access to accurate entity data is the backbone of good global entity compliance management.
Further, the regulatory environment continues to highlight the need for organizations to develop more robust corporate governance practices which will allow for better transparency into the ownership details of entities in the US. In particular, FinCEN has recently issued the final rule implementing the reporting requirements of the Corporate Transparency Act (CTA). The CTA will require certain companies to file a report with the Department of Treasury’s Financial Crimes Unit (FinCEN) containing personal identifying information about beneficial owners and applicants.
